Terms of Service

These terms govern a merchant's use of Order Vault. By installing or using Order Vault, you agree to them.

1. Acceptance

These Terms of Service ("Terms") are an agreement between the merchant installing Order Vault ("you," "your store") and PINUYA LLC ("we," "us," "our"). Installing Order Vault on a Shopify store, or continuing to use it, means you accept these Terms and our Privacy Policy and Data Processing Addendum, both incorporated by reference. If you don't agree, don't install or use Order Vault.

2. What the service does

Order Vault watches for orders Shopify flags as medium or high risk, holds their payment authorization, emails the customer a one-click confirmation link, and lets you approve (capture payment) or cancel (void) the order. If a flagged order isn't actioned before its deadline, Order Vault can automatically decide for you based on your settings. For every order it tracks, it also assembles a chargeback evidence file you can send to your payment processor or bank if a dispute is opened.

Order Vault does not calculate fraud risk itself — it relies entirely on the risk assessment Shopify provides for each order. We do not control, and cannot improve, the accuracy of Shopify's risk assessment. You remain responsible for the approve/cancel decisions made on your orders, for the auto-decision settings you configure, and for reviewing flagged orders in a timely way. Order Vault is a tool to help you make and document those decisions — it does not guarantee any particular chargeback outcome, dispute win rate, or reduction in fraud losses.

3. Beta, pricing, and billing

Order Vault is currently free while in beta. When paid plans launch, the plan will cost $19/month with a 14-day free trial, billed through Shopify's billing system. We will give notice before your store is charged for the first time. Shopify's own billing terms apply to how charges are collected and refunded.

4. Your responsibilities

  • You are responsible for having a lawful basis, and giving your own customers any notice your jurisdiction requires, for sending them verification emails and collecting their confirmation, IP address, and browser information through Order Vault.
  • You are responsible for keeping your Shopify store and staff accounts secure.
  • You are responsible for configuring Order Vault's settings (deadlines, reminders, auto-decision behavior) in a way that fits your business, and for reviewing flagged orders before their deadline where you want a manual decision.
  • You must have manual payment capture enabled on your store for Order Vault to function — see the install guide.

5. Acceptable use

You may not use Order Vault to violate any law, to process orders or customer data you don't have the right to process, to attempt to disrupt or reverse-engineer the service, or to resell or provide the service to third parties without our written agreement.

6. Data protection

How we collect, use, and protect data is described in our Privacy Policy. The terms under which we process your customers' personal data on your behalf as a processor are set out in our Data Processing Addendum, which forms part of this agreement.

7. Availability and changes

We aim to keep Order Vault available and reliable, but we don't guarantee uninterrupted uptime. We may change, add, or remove features as the product evolves, and will make reasonable efforts to give notice of changes that materially affect how you use the service.

8. Termination and uninstall

You may stop using Order Vault at any time by uninstalling it from your Shopify admin. We may suspend or terminate your access if you materially breach these Terms, misuse the service, or if required by Shopify's own policies. When you uninstall, Shopify notifies us and we delete your store's data on the schedule described in our Privacy Policy.

9. Disclaimers

Order Vault is provided "as is" and "as available," without warranties of any kind, express or implied, including any warranty of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the service will prevent fraud, chargebacks, or disputes, or that any evidence file we generate will result in a favorable outcome.

10. Limitation of liability

To the maximum extent permitted by law, PINUYA LLC's total liability arising out of or relating to Order Vault or these Terms will not exceed the fees you paid us in the 12 months before the claim arose, or USD 100 if you paid us nothing. Neither party will be liable for indirect, incidental, special, consequential, or punitive damages, including lost profits, lost revenue, or lost data, even if advised of the possibility.

11. Indemnity

You agree to indemnify and hold PINUYA LLC harmless from claims arising out of your misuse of Order Vault, your violation of these Terms, or your violation of applicable law in how you operate your store or notify your customers.

12. Governing law

These Terms are governed by the laws of the State of Florida, United States, without regard to conflict-of-law principles.

13. Changes to these Terms

If we make material changes to these Terms, we will update the "Last updated" date above. Continuing to use Order Vault after changes take effect means you accept the updated Terms.
